Sale of three subsidiaries / Sprzedaż udziałów w trzech spółkach zależnych

The Management Board of Photon Energy a.s. announces that on 4 September 2012 the Company signed a share transfer agreement with W.A.B. Consult Ltd on the basis of which it sold its 100% ownership interests in Photon Import s.r.o., Photon Trading s.r.o and Photon Engineering s.r.o. for a total consideration of CZK 599,400 (EUR 24,180).
In the light of the planned termination of the support for renewable energies in the Czech Republic in 2013 as well as a high level of regulatory uncertainty for the photovoltaic sector in the country, Management decided to discontinue its equipment wholesale and EPC activities in the Czech Republic through this divestment.

Legal basis: § 3 ust. 2 point 1) of the Appendix 3 to Regulations of the Alternative Trading System - "Current and Periodical Information in the Alternative Trading System".

Zarząd Photon Energy a.s. informuje, że w dniu 4 września 2012 r., Spółka podpisała umowy przeniesienia udziałów z W.A.B. Consult Ltd na mocy, których sprzedała 100% udziałów w spółkach Photon Import s.r.o., Photon Trading s.r.o oraz Photon Engineering s.r.o. za całkowitą sumę CZK 599,400 (EUR 24,180).
W świetle planowanego zniesienia wsparcia dla energetyki odnawialnej w Republice Czech w roku 2013, jak i wysokiej niepewności regulacyjnej w sektorze fotowoltaiki, Zarząd zadecydował o ukończeniu działalności związanej ze sprzedażą hurtową technologii PV oraz działalnością inżynieryjno-budowlaną w Czechach, w drodze w/w dezinwestycji.
Podstawa prawna: § 3 ust. 2 pkt 1) Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu - "Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect".
