Change of the name of the Company / Zmiana nazwy firmy

In accordance with the resolution of the extraordinary general meeting of shareholders, held on 10 December 2012 in Prague, the Management Board of the Company announces that on 19 December 2012, the change of the name of the Company from Photon Energy a.s. to Phoenix Energy a.s. was registered by the Municipality court in Prague and is effective as of the date of its issuance. The new website address of the Company is http://www.phoenixenergy.as/
The change of the name of the Company results from the fact that Photon Energy N.V., a controlling shareholder of the Company, is in the process of preparation for the listing of its shares on the NewConnect market and in order to avoid the confusion of having two companies listed under the same name, the aforementioned decision was taken.
At the same time, the Management Board confirms that its controlling shareholder Photon Energy N.V. maintains its plans to offer its shares to the minority shareholders of Phoenix Energy a.s. in relation 1 - to - 1 share. Photon Energy N.V. is in the preparations to this process.
Legal basis: § 3 ust. 1 of the Appendix 3 to Resolution No. 733/2009 of the Warsaw Stock Exchange Management Board dated 18 December 2009 "Current and Periodical Information in the Alternative Trading System".

Zgodnie z uchwałą nadzwyczajnego walnego zgromadzenia akcjonariuszy Spółki z dnia 10 grudnia 2012 r. w Pradze, Zarząd Spółki informuje, że w dniu 19 grudnia 2012 r. decyzja o zmianie nazwy firmy z Photon Energy a.s. na Phoenix Energy a.s. została podjęta przez Sąd Miejski w Pradze i wchodzi w życie z dniem podjęcia. Nowy adres strony internetowej firmy to www.phoenixenergy.as
Zmiana nazwy firmy wynika z faktu, że Photon Energy N.V., akcjonariusz kontrolujący Spółkę, jest w trakcie procesu przygotowania do wprowadzenia swoich akcji do obrotu na rynku NewConnect i aby uniknąć nieporozumień związanych z notowaniem dwóch podmiotów pod tą samą nazwą firmy, podjęto powyższą decyzję.
Jednocześnie Zarząd informuje iż akcjonariusz kontrolujący Spółkę Photon Energy N.V. podtrzymuje swoje plany przeprowadzenia oferty akcji skierowanej do akcjonariuszy mniejszościowych Phonix Energy a.s. w stosunku 1-do-1. Photon Energy N.V. jest w trakcie przygotowania do tego procesu.
Podstawa prawna: § 3 ust. 1 Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu - "Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect".
