The Management Board of Phoenix Energy a.s. informs upon request of WSE about a signed agreement on the set-off of financial receivables, which took place in June 2013 and was followed by waiver in July 2013.

As disclosed in previous reports, at the beginning of Q2 2013 Phoenix Energy a.s. had a liability of approximately CZK 693 million (including interest) towards the third party owned company Adria-Faraone Ltd. From 19 June 2012, Phoenix Energy a.s. had a receivable in the amount of approximately CZK 637 million towards Photon Energy Investments SK N.V. ("PEISKNV").

On 18 June 2013, Phoenix Energy a.s. assigned its receivable towards PEISKNV of approximately CZK 637 million to Adria-Faraone Ltd, followed by a bilateral offset. After the offset, Adria-Faraone Ltd had a remaining receivable towards Phoenix Energy a.s. of approximately CZK 56 million.

On 2 July 2013, Adria-Faraone Ltd decided to unconditionally waive its receivable towards Phoenix Energy a.s. of approximately CZK 56 million. After this waiver, between Phoenix Energy a.s. and Adria-Faraone Ltd no mutual claims exist.

Zarząd Spółki Phoenix Energy a.s. informuje, na wniosek Warszawskiej Giełdy Papierów Wartościowych, o podpisanym dwustronnym porozumieniu o potrąceniu wzajemnych należności finansowych, które miało miejsce w czerwcu 2013 roku, a następnie porozumieniu o umorzeniu pozostałych należności Spółki, które miało miejsce w lipcu 2013 roku.

Jak zostało ujawnione w poprzednich raportach, na początku kw. II 2013 r. spółka Phoenix Energy a.s. posiadała zobowiązanie w wysokości około 693 mln CZK (łącznie z odsetkami) wobec podmiotu trzeciego Adria-Faraone Ltd. Od 19 czerwca 2012 r., Phoenix Energy a.s. posiadała należności w wysokości około 637 mln CZK wobec Photon Energy Investments SK N.V. (" PEISKNV").

W dniu 18 czerwca 2013 r., Phoenix Energy a.s. przeniosła prawo do swojej należności wobec PEISKNV w wysokości około 637 mln CZK na Adria- Faraone Ltd, w drodze dwustronnej umowy o potrąceniu wzajemnych należności i zobowiązań. Po przeprowadzonym potrąceniu, Adria-Faraone Ltd posiadała należność wobec Phoenix Energy a.s. w wysokości około 56 mln CZK.

W dniu 2 lipca 2013 r., Adria- Faraone Ltd zdecydowała się bezwarunkowo zrezygnować z roszczeń do swojej wierzytelności wobec Phoenix Energy a.s. w wysokości około 56 mln CZK. Po zrzeczeniu się, pomiędzy Phoenix Energy a.s. i Adria- Faraone Ltd nie istnieją już wzajemne roszczenia finansowe.
