Photon Energy N.V. announces intention to merge with Photon Energy Investments N.V./Photon Energy N.V. ogłasza zamiar połączenia z Photon Energy Investment N.V.

The management board of Photon Energy N.V. announces that it intends to merge its fully-owned subsidiary Photon Energy Investments N.V. (PEINV) with the Issuer. The merger is planned to take effect in early July 2014.
“The merger will significantly lower our operating expenses and improve the value-enhancing exploitation of synergies within the group”, explained CEO Georg Hotar. “PEINV’s portfolio of 26 power plants in four countries will now be directly owned by Photon Energy N.V.”, Hotar added.
Photon Energy N.V., as the legal successor, will equally assume all obligations towards PEINV including the holders of PEINV’s 8% corporate bond due in 2018.
The financial results of PEINV are already included in the consolidated financial statements of Photon Energy N.V.

Zarząd Spółki Photon Energy N.V. informuje, iż zamierza przeprowadzić połączenie swojej w pełni zależnej spółki Photon Energy Investments N.V. (PEINV) z Emitentem. Planowany termin połączenia to początek lipca 2014 roku.
"Połączenie znacznie obniży koszty operacyjne Spółki i poprawi wykorzystanie zwiększających wartość synergii w ramach grupy", wyjaśnił prezes Georg Hotar. "Photon Energy N.V. obejmie teraz w bezpośrednie posiadanie portfel PEINV 26 elektrowni w czterech krajach", dodał Hotar.
Photon Energy N.V., jako następca prawny, przejmie na siebie również wszelkie zobowiązania PEINV, w tym również wobec obligatariuszy 8% obligacji korporacyjnej PEINV z terminem zapadalności w 2018 roku.
Wyniki finansowe Photon Energy Investments N.V. są już ujęte w skonsolidowanych sprawozdaniach finansowych Photon Energy N.V.
