Zawarcie umowy sprzedaży udziałów w innym przedsiębiorstwie // The conclusion of the contract of sale of the shares in another company

Zarząd Spółki Planet Soft S.A. z siedzibą we Wrocławiu ("Emitent:, "Spółka") informuje, iż w dniu 9 grudnia 2013 roku do siedziby Spółki wpłynęła podpisana umowa sprzedaży udziałów w spółce DOCS4YOU sp. z o.o. z siedzibą we Wrocławiu z dnia 29 listopada 2013 r. Zgodnie z treścią zawartej umowy zakupione zostaje 49,00% udziałów w kapitale zakładowym spółki za łączną cenę 100.000,00 zł (23.910,18 EUR). Podpisana umowa sprzedaży udziałów wynika z wcześniejszej umowy przedwstępnej zakupu udziałów, o której Emitent informował w raporcie bieżący EBI nr 23/2013.
Spółka DOCS4YOU sp. z o.o została zawiązana w 2012 roku i jej strategia rozwoju opiera się na stworzeniu e usługi DigitizeDoks, będącej zaawansowanym narzędziem do inteligentnego przetwarzania i katalogowania digitalizowanych dokumentów. Na realizację tego projektu opisywane przedsiębiorstwo otrzymało dotację ze środków UE w ramach programu POIG 8.1 w kwocie 490.000,00 zł (117.162,21 EUR), przy czym całkowita wartość realizowanego projektu wynosi 700.000.00 zł (167.376,02 EUR), netto.
Zarząd Emitenta podjął decyzję o publikacji informacji o zawarciu niniejszej umowy z uwagi na spodziewany istotny pozytywny wpływ zawartej umowy na sytuację gospodarczą, majątkową i finansową Spółki oraz Grupy Kapitałowej. Pomimo faktu, iż określona wartość zawartej umowy wynosi mniej niż 20% wartości kapitałów własnych Emitenta wykazanych w ostatnim opublikowanym sprawozdaniu finansowym oraz mniej niż 20% wartości przychodów netto ze sprzedaży Spółki za okres ostatnich czterech kwartałów obrotowych, umowa ta została uznana za istotną z uwagi na jej spodziewany pozytywny wpływ na perspektywy rozwoju Emitenta, ze względu na fakt realizacji celu strategicznego, tj. budowa i rozwój Grupy Kapitałowej Planet Soft S.A. Ponadto, wraz z nabyciem udziałów powyżej opisywanego podmiotu, rozszerzeniu ulegnie także portfolio Grupy o nowe produkty.
Podstawa prawna: § 3 ust. 2 pkt 2 w związku z §2 ust. 1 pkt 2b) ppkt c) Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu "Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect".
The Management Board of Planet Soft PLC of Wroclaw ( the "Issuer : " the Company " ) announces that on 9 December 2013 to the Company's office received a signed contract for the sale of shares in DOCS4YOU Ltd with its registered office in Wroclaw on 29 November 2013 in accordance with the substance of the contract is purchased 49.00% of the share capital of the company for a total price of 100,000.00 zł ( 23,910.18 EUR). Signed a share sale agreement with a previous preliminary agreement to purchase shares of the Issuer in the current report, the EIB No. 23 / 2013 .
DOCS4YOU Ltd. was established in 2012 and its development strategy is based on creating an DigitizeDoks services , which is a powerful tool for intelligent processing and cataloging digitized documents. For the realization of this project described the company received a grant from the EU under the POIG 8.1 in the amount of 490,000.00 zł ( 117,162.21 EUR) , the total value of the project is 700.000.00 zł ( 167,376.02 EUR) , net .
Issuer's Management Board has decided to publish information about the conclusion of this agreement due to the expected significant positive impact of the agreement on the economic situation and financial standing of the Company and the Group. Despite the fact that a particular value of the contract amounts to less than 20 % of the Issuer's equity reported in the last published financial statements and less than 20 % of the net sales of the Company for the last four quarters , the contract was considered important due to the its expected positive impact on the development prospects of the Issuer , due to the fact that the implementation of the strategic objective , namely the construction and development of the Group's Planet Soft PLC. Moreover, with the acquisition of shares above a given subject , the extension will be the Group's portfolio of new products.
