Zarząd Planet Soft S.A. z siedzibą we Wrocławiu ("Emitent", "Spółka") informuje o dwukrotnym naruszeniu przez Emitenta zasady nr 16a Dobrych Praktyk Spółek Notowanych na NewConnect w zakresie nieterminowego przekazania raportów bieżących EBI nr 53/2013 i 54/2013 z dnia 27 grudnia 2013 r. dot. zawarcia istotnej umowy na sprzedaż licencji z dnia 17 grudnia 2013 r. i uchwały Zarządu KDPW w sprawie rejestracji praw poboru akcji zwykłych serii C z dnia 18 grudnia 2013 r.
Powyższe raporty bieżące EBI zostały przekazane z naruszeniem regulaminowego terminu publikacji raportu bieżącego, tj. niezwłocznie, nie później jednak niż w ciągu 24 godzin, od zaistnienia okoliczności lub zdarzenia lub powzięcia o nim informacji przez Emitenta. Dwukrotne naruszenie obowiązków informacyjnych przez Emitenta wynikało z nieumyślnego i niezamierzonego omyłkowego niezastosowania §6 ust. 1 Załącznika Nr 3 do Regulaminu ASO w wyniku niedokończenia procedury przekazania raportu bieżącego przez operatora EBI Emitenta.
Jednocześnie Zarząd Spółki informuje, iż dołoży wszelkich starań, aby zaistniała sytuacja nie powtórzyła się w przyszłości.
Podstawa prawna: §3 ust. 1 oraz § 3 ust. 2 pkt 2 w związku z §2 ust. 1 pkt 2b) ppkt a) Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu "Informacje Bieżące i Okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect" w zw. z pkt 16a Załącznika nr 1 do Uchwały Nr 795/2008 Zarządu Giełdy z dnia 31 października 2008 r. "Dobre praktyki spółek notowanych na NewConnect", zmienionych Uchwałą Nr 293/2010 Zarządu Giełdy Papierów Wartościowych w Warszawie S.A. z dnia 31 marca 2010 r. w sprawie zmiany dokumentu "Dobre Praktyki Spółek Notowanych na NewConnect".
The Board Planet Soft SA of Wrocław ( the "Issuer" or "the Company " ) announces the double breach by the Issuer of Rule 16a Good Practices of Companies Listed on the NewConnect of delayed transfer of current EIB No. 53/2013 and 54/2013 of 27 December 2013 concerning the conclusion of a significant contract for the sale of licenses of 17 December 2013 and the resolution of the Board of NDS on registration of rights issue of ordinary shares of series C of 18 December 2013
These reports were forwarded to the current EIB in violation of regulation of the publication date of this report , ie immediately , but no later than within 24 hours of the occurrence of circumstances or events , or obtaining information thereof by the Issuer. Double breach of information obligations by the Issuer resulted from inadvertent and unintentional non-compliance by mistake § 6 . 1 of Appendix 3 to the ASO as a result of uncompleted procedure of submitting the report of the EIB by the operator of the Issuer.
The Management Board of the Company announces that it will make every effort to ensure that the situation was not repeated in the future.
Legal basis : § 3 . 1 and § 3 . 2 point 2 in connection with § 2 . 1 point 2b ), point a) of Annex No. 3 to the Alternative Trading System " Current and Periodical Information provided in the alternative trading system on the NewConnect " in conjunction. with paragraph 16a of Appendix 1 to Resolution No. 795/2008 of the WSE Management Board dated 31 October 2008 "Best practices of companies listed on NewConnect" , as amended by Resolution No. 293/2010 of the Management Board of the Stock Exchange in Warsaw SA of 31 March 2010 on the revision of the document " Good Practices of Companies Listed on the NewConnect" .
Powyższe raporty bieżące EBI zostały przekazane z naruszeniem regulaminowego terminu publikacji raportu bieżącego, tj. niezwłocznie, nie później jednak niż w ciągu 24 godzin, od zaistnienia okoliczności lub zdarzenia lub powzięcia o nim informacji przez Emitenta. Dwukrotne naruszenie obowiązków informacyjnych przez Emitenta wynikało z nieumyślnego i niezamierzonego omyłkowego niezastosowania §6 ust. 1 Załącznika Nr 3 do Regulaminu ASO w wyniku niedokończenia procedury przekazania raportu bieżącego przez operatora EBI Emitenta.
