Zawarcie istotnej umowy na sprzedaż licencji // Conclusion of a significant agreement for the sale of licenses

Zarząd Planet Soft S.A. z siedzibą we Wrocławiu (“Emitent", “Spółka") informuje, iż w dniu 17 grudnia 2013r. pomiędzy Emitentem a amerykańską firmą działającą na rynku nowych technologii, została zawarta umowa dotycząca sprzedaży na wyłączność licencji technologii synchronizacji plików związanej z produktem STOREQ z warunkiem dokonania sprzedaży przez Emitenta w lipcu 2013 r. Umowa zawiera klauzule dodatkowych korzyści przyszłych dla Emitenta na okres 5 lat.
Cena sprzedaży licencji została ustalona na poziomie 450.000,00 USD (326.936,00 EUR). Dodatkowo w ciągu 5 następnych lat Emitent będzie otrzymywać 5% wartości z każdej kolejnej sprzedaży przez kontrahenta, lecz nie więcej niż 500.000,00 USD (363.262,00 EUR). Zarząd Emitenta szacuje, że łączna wartość przychodów osiągnięta w okresie obowiązywania niniejszej umowy, wynikających z jej realizacji wyniesie ok. 2,75 mln PLN (658.084,00 EUR).
Zarząd Planet Soft S.A. podjął decyzję o publikacji informacji o zawarciu niniejszej umowy z uwagi na spodziewany wpływ zawartej umowy na sytuację gospodarczą, majątkową i finansową Emitenta w przyszłości. Ponadto, określona wartość przychodów wynikających z przedmiotowego kontraktu w okresie jego obowiązywania przekracza 20% wartości kapitałów własnych Emitenta, wykazanej w ostatnim opublikowanym sprawozdaniu finansowym.
Podstawa prawna: § 3 ust. 2 pkt 2 w związku z §2 ust. 1 pkt 2b) ppkt a) Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu “Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect".
The Board Planet Soft SA seated in Wrocław ( the “Issuer" or “the Company “) announces that on 17 December 2013 between the Issuer and the American company operating in the market for new technologies, an agreement was signed for the sale of an exclusive license for technology synchronize files related to the product STOREQ the condition of the sale by the Issuer in July 2013, the agreement contains clauses added benefit future for the Issuer for a period of 5 years.
License sales price has been set at 450,000.00 USD (326,936.00 EUR). In addition, over the next 5 years, the Issuer will receive 5 % of the value of any subsequent sale by the contractor, but not more than 500,000.00 USD (363,262.00 EUR). The Issuer's Management estimates that the total value of income achieved during the term of this Agreement , arising out of its implementation will be approximately 2.75 million PLN (658,084.00 EUR) .
The Board Planet Soft SA has decided to publish information about the conclusion of this agreement due to the expected impact of the agreement on the economic situation and financial standing of the Issuer in the future. Furthermore , the specified value of revenues resulting from this contract during the period of its duration exceeds 20 % of the equity of the Issuer , shown in the last published financial statements.
Legal basis : § 3 . 2 point 2 in connection with § 2 . 1 point 2b ), point a) of Annex No. 3 to the Alternative Trading System “Current and Periodical Information in the alternative trading system on the New Connect market" .
