Uchwała Zarządu w sprawie restrukturyzacji projektów // Resolution of the Board on the restructuring projects

Zarząd Spółki Planet Soft S.A. z siedzibą we Wrocławiu (“Emitent", “Spółka") informuje o że w dniu 26 maja 2014 roku podjął uchwałę w zakresie restrukturyzacji prowadzonych projektów. Zarząd emitenta wobec już prowadzonych projektów planuje:
- wstrzymanie projektu PAYOWA do końca roku, w przypadku nie znalezienia inwestora wycofanie się z projektu poprzez sprzedaż Spółki PAYOWA Sp. z o.o.
- wycofanie się z projektu inteligentnego Zegarka Boddie poprzez sprzedaż posiadanych akcji w spółce Rearden Technology S.A.
- prowadzenie projektów DOCS4YOU, POQAD oraz QR SHOPER (VALUE LAB) zgodnie z przyjętymi harmonogramami
- rozszerzenie projektu DOCS4YOU o ofertę obiegu dokumentów, skierowaną do małych firm
Ponadto Zarządu rozważa:
- powołanie dwóch nowych podmiotów będących efektem prowadzonych przez ostatnie dwa kwartały weryfikacji rynkowych projektów
- powołania nowego podmiotu, którego celem będzie dystrybucja urządzeń elektronicznych typu wearable innych producentów na rynku polskim.
Celem Zarządu Emitenta jest wycofanie się z projektów, których nie jest w stanie sfinansować lub ich zatrzymanie do czasu znalezienia współinwestora.
Podstawa Prawna: § 3 ust. 1 Załącznika nr 3 do Regulaminu Alternatywnego Systemu Obrotu “Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect".
The Management Board Planet Soft PLC based in Wrocław ( the "Issuer" or "the Company " ) informs that on 26 May 2014 resolved to restructure their projects . The Management Board of the Issuer to the already ongoing projects planned :
- Suspend the project PAYOWA year end, in the case of not finding an investor to withdraw from the project through the sale of the Company PAYOWA Sp. with o.o.
- Withdrawal from the project smart watch Boddie through the sale of shares in the company Rearden Technology SA
- Managing projects DOCS4YOU , POQAD and QR shoper (VALUE LAB) in accordance with established schedules
- Extension of the project DOCS4YOU an offer document circulation , addressed to small businesses
In addition, the Board considers:
- The appointment of two new entities resulting from conducted over the last two quarters of market verification projects
- The establishment of a new entity , the purpose of which is the distribution of the type of wearable electronic devices from other manufacturers on the Polish market .
The purpose of the Board of the Issuer 's withdrawal from the project , which it is not able to finance or their detention until they find a co-investor .
Legal basis : § 3 . 1 of Appendix 3 to the Alternative Trading System "Current and Periodical Information in the alternative trading system on the New Connect market"
